TERMS & CONDITIONS

Welcome to Greenjeeva (“Website”), operated by Green Jeeva LLC (“Green Jeeva,” “we,” “us,” or “our”), with its registered office at 2610 W Horizon Ridge Pkwy, Suite 201A, Henderson, NV 89052. By accessing or using this Website, or by placing an order with Green Jeeva, you agree to be bound by these Terms and Conditions (“Terms”), which govern your use of the Website and your purchase of any product(s) specified in the Sales Order Confirmation.

These Terms, together with the Sales Order Confirmation and Invoice, constitute the entire agreement between you (“Buyer”) and Green Jeeva LLC (“Agreement”). By agreeing to these Terms, you acknowledge that Green Jeeva acts solely as a reseller of the product(s) and that your purchase is subject to the terms outlined herein.

Please read these Terms carefully before using the Website or placing an order. If you do not agree with any part of these Terms, you are advised to discontinue use of the Website.

1. TERMS OF SALE:

   Customer’s orders are submitted to Green Jeeva with respect to products to be purchased hereunder (Products) and will be governed by these terms and conditions (Terms and Conditions). Nothing contained in any purchase order or other correspondence will in any way modify these Terms and Conditions or add any additional terms or conditions, all of which are hereby expressly rejected by Company. The product(s) shall be deemed accepted by the Buyer unless expressly refused or returned within thirty (30) days of receipt. The Buyer is responsible for conducting any necessary inspection of the product(s) at their own expense. If the product(s) are found to be nonconforming, the Buyer must return them to Green Jeeva within the same thirty (30) day period.

2. ORDER AND ACCEPTANCE:

   An order placed by the Customer shall be considered accepted upon receipt of the corresponding sales order by the Company.

3. ACCOUNTS; TRANSFER OF DATA ABROAD:

   In order to access some of the features of this Site or use some of the Services, you will have to create an Account. You represent and warrant to Green Jeeva that all information you submit when you create your Account is accurate, current and complete, and that you will keep your Account information accurate, current and complete. If Green Jeeva has reason to believe that your Account information is untrue, inaccurate, out-of-date or incomplete, Green Jeeva reserves the right, in its sole and absolute discretion, to suspend or terminate your Account. You are solely responsible for the activity that occurs on your Account, whether authorized by you or not, and you must keep your Account information secure, including without limitation your customer number/login, password, Payment Method(s) (as defined below). For security purposes, Green Jeeva recommends that you change your password at least once every six (6) months for each Account. You must notify Green Jeeva immediately of any breach of security or unauthorized use of your Account. Green Jeeva will not be liable for any loss you incur due to any unauthorized use of your Account. You, however, may be liable for any loss Green Jeeva or others incur caused by your Account, whether caused by you, or by an authorized person, or by an unauthorized person.

4. PAYMENT:

   Unless credit terms have been established, the Company requires payment in advance. Accepted payment methods include:

   For Credit and Debit Cards: Visa, Mastercard, American Express, Discover, JCB, Diners Club, China UnionPay, and other debit cards.

   For Bank transfers: ACH credit transfer, ACH direct debit, Bacs direct debit, BECS direct debit, and USD bank transfers.

   For Other payment methods: Checks, pre-authorized debits, and alternative payment methods like iDeal or Bancontact

   To establish credit, a completed credit application is required. Upon approval and as to orders within credit limits, terms are net 30 days from date of invoice, unless a different period is stated on the invoice. Company will not be required to make any shipment until payment is made consistent with the terms hereof. Unless otherwise agreed to by Company, all payments hereunder will be in U.S. dollars. Any amounts owing hereunder and not paid on a timely basis will bear interest at a rate of 1.5% per month, which is an annual percentage rate of 18% per annum, or at the highest rate permitted by law, whichever is lower. Returned checks may be submitted for collection and are subject to a $25 returned cheque fee. Failure to pay the invoiced amount in full on the terms specified herein will void any and all discounts given and Customer will be liable for Company’s standard wholesale pricing. Customer will pay all of Company’s costs and expenses (including attorneys’ fees, court costs and collection costs) incurred to collect any amounts owing Company. The Company reserves the right to apply interest charges retroactively, whether or not they are shown on individual statements or invoices.

5. SHIPPING:

   For all products, including samples, the shipping cost will be borne by the Buyer, who must provide their FedEx or UPS account number at the time of purchase.

6. DELIVERY:

   Shipping and delivery dates are approximate only. Company will not be liable for any loss or expense (consequential, incidental or otherwise) incurred by Customer (or any of its customers) if Company fails to meet such dates for any reason. Customer will be billed for the freight costs if a package is refused, and for a 20% restocking charge.

7. TAXES:

   Customer’s purchase price does not include any federal, state, provincial, local or other taxes or fees that may be applicable to the sale or shipment of the Products, all of which will be the sole responsibility of Customer.

8. INSPECTION OF PRODUCTS:

   Customer agrees to inspect all Products promptly upon receipt. Any Products that fail in a material way to meet applicable specifications must be rejected in writing within 30 calendar days of receipt of Products by Customer or they will be deemed accepted.

9. ADDITIONAL RESERVATION OF RIGHTS

   Green Jeeva expressly reserves the right to deny, cancel, terminate, suspend, lock, or modify (including access to or control of) any Account or Services (including the right to cancel or transfer any domain name registration ) for any reason (as determined by Green Jeeva in its sole and absolute discretion), including but not limited to the following:

   • to correct mistakes made by Green Jeeva in offering or delivering any Services (including any domain name registration)
   • to protect the integrity and stability of, and correct mistakes made by, any domain name registry,
   • to assist with our fraud and abuse detection and prevention efforts, to prevent activities that threaten the stability of our network and/or servers
   • to comply with court orders against you and/or your domain name or website and applicable local, state, national and international laws, rules and regulations,
   • to comply with requests of law enforcement, including subpoena requests,
   • to comply with any dispute resolution process,
   • to defend any legal action or threatened legal action without consideration for whether such legal action or threatened legal action is eventually determined to be with or without merit, or
   • to avoid any civil or criminal liability on the part of Green Jeeva, its officers, directors, employees and agents, as well as Green Jeeva's affiliates, including, but not limited to, instances where you have sued or threatened to sue Green Jeeva.

   Green Jeeva expressly reserves the right to terminate, without notice to you, any and all Services where, in Green Jeeva's sole discretion, you are harassing or threatening Green Jeeva and/or any of Green Jeeva's employees.

10. TRADEMARK AND/OR COPYRIGHT CLAIMS

    Green Jeeva supports the protection of intellectual property. If you would like to submit

    • a trademark claim for violation of a mark on which you hold a valid, registered trademark or service mark, or
    • a copyright claim for material on which you hold a bona fide copyright. Green Jeeva requests that the Complaining Party substantiate such claim by providing all the relevant information and documents via email to grievance@greenjeeva.com grievance@greenjeeva.com. The words "Trademark Claim" should appear in the subject line of the email.

11. LINKS TO THIRD-PARTY WEBSITES

    This Site and the Services found at this Site may contain links to third-party websites that are not owned or controlled by Green Jeeva. Green Jeeva assumes no responsibility for the content, terms and conditions, privacy policies, or practices of any third-party websites. In addition, Green Jeeva does not censor or edit the content of any third-party websites. By using this Site or the Services found at this Site, you expressly release Green Jeeva from any and all liability arising from your use of any third-party website. Accordingly, Green Jeeva encourages you to be aware when you leave this Site or the Services found at this Site and to review the terms and conditions, privacy policies, and other governing documents of each other website that you may visit.

12. LIMITED WARRANTIES

    YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THIS SITE AND THE SERVICES FOUND AT THIS SITE SHALL BE AT YOUR OWN RISK AND THAT THIS SITE AND THE SERVICES FOUND AT THIS SITE ARE PROVIDED “AS IS”, “AS AVAILABLE” AND “WITH ALL FAULTS”. GREEN JEEVA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND ALL THIRD-PARTY SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, STATUTORY, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. GREEN JEEVA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT

    • THE ACCURACY, COMPLETENESS, OR CONTENT OF THIS SITE,
    • THE ACCURACY, COMPLETENESS, OR CONTENT OF ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, AND/OR
    • THE SERVICES FOUND AT THIS SITE OR ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, AND GREEN JEEVA ASSUMES NO LIABILITY OR RESPONSIBILITY FOR THE SAME.

    • CONSTITUTE LEGAL OR FINANCIAL ADVICE OR
    • CREATE A WARRANTY OF ANY KIND WITH RESPECT TO THIS SITE OR THE SERVICES FOUND AT THIS SITE, AND USERS SHOULD NOT RELY ON ANY SUCH INFORMATION OR ADVICE.

    THE FOREGOING DISCLAIMER OF REPRESENTATIONS AND WARRANTIES SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, AND shall survive any termination or expiration of this Agreement or your use of this Site or the Services found at this Site.

13. INDEMNITY

    You agree to protect, defend, indemnify and hold harmless Green Jeeva and its officers, directors, employees, agents, and third party service providers from and against any and all claims, demands, costs, expenses, losses, liabilities and damages of every kind and nature (including, without limitation, reasonable attorneys’ fees) imposed upon or incurred by Green Jeeva directly or indirectly arising from

    • your use of and access to this Site or the Services found at this Site;
    • your violation of any provision of this Agreement or the policies or agreements which are incorporated herein; and/or
    • your violation of any third-party right, including without limitation any intellectual property or other proprietary right. The indemnification obligations under this section shall survive any termination or expiration of this Agreement or your use of this Site or the Services found at this Site.

14. COPYRIGHT AND TRADEMARK NOTICE

    This site and the information contained in it are protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and the US and international laws. Unless otherwise specified, all materials appearing on this site, including the text, site design, logos, graphics, icons, and images, as well as the selection, assembly, and arrangement thereof, are the sole property of Green Jeeva LLC.  You may use the content of this site only to shop on this site or placing an order on this site and for no other purpose. No materials from this site may be copied, reproduced, modified, republished, uploaded, posted, transmitted, or distributed in any form or by any means without our prior written permission. All rights not expressly granted herein are reserved. Any unauthorized use of the materials appearing on this site may violate copyright, trademark, and other applicable laws and could result in criminal or civil penalties.

    This site, and all information on it, including product descriptions, are provided “as-is” with no guarantees or warranties, expressed or implied, including, without limitation, no warranties of merchantability, fitness for a particular purpose, or no infringement.

    You may post comments, including recipes, and communicate with us, provided the information you post or submit is not illegal, injurious, or objectionable. We assume no responsibility for comments posted by our website users. If you send any information to or through this site, such as comments, email communications, or the like, you grant us the right and license to use, copy, modify, and distribute that information in any format, media, or manner we choose. Although we do not monitor or edit the material posted by users that may be available on this site, we reserve the right to take action against users who post inappropriate or offensive material on this site. 16. MISCELLANEOUS
    • Entire Agreement and Amendments: This Agreement, along with the Sales Order and Invoice, constitutes the complete and exclusive understanding between the Buyer and Green Jeeva regarding the subject matter herein. It supersedes all prior agreements, understandings, and representations related to the same subject. Any promise or agreement made after the execution of this Agreement shall be binding only if it is documented in writing and signed by both parties. Unless explicitly stated otherwise in this Agreement, any amendment or modification must also be in writing and signed by both parties.
    • Binding Effect: This Agreement shall be binding upon and benefit the parties, their respective successors, legal representatives, and permitted assigns.
    • Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of laws principles. Any legal action arising under this Agreement shall be exclusively brought in the courts located in Nevada
    • Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any invalid or unenforceable provision shall be construed, limited, or modified as necessary to comply with applicable law while maintaining the intended purpose of the provision.
    • No Waiver: Green Jeeva’s rights and remedies under this Agreement are cumulative and not exclusive. The exercise of any remedy does not constitute a waiver of other rights or remedies. No term of this Agreement shall be waived, nor shall any act be deemed to create estoppel against Green Jeeva, except by a written waiver expressly executed by Green Jeeva.
